Unless otherwise noted, all references to the Company include BIL and its subsidiaries: Brown Trucking Company, Brown West Logistics, Brown Aviation Logistics, Brown Fleet Services, and Brown Logistics Services.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, please discontinue use of the Site immediately.

These Terms apply to all visitors, users, customers, carriers, vendors, and others who access or use the Site. Use of any customer, carrier, or vendor portal may be subject to additional or supplemental terms presented at the time of access.

We reserve the right to modify these Terms at any time. When we do, we will update the “Last Updated” date at the top of this page. Material changes will be communicated via a prominent notice on the Site or by other appropriate means. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

3. Use of the Site

3.1 Permitted Use

You may use the Site for lawful purposes only, in accordance with these Terms. The Site is intended to provide information about BIL’s services, facilitate business inquiries, and support the logistics relationship between BIL and its customers, carriers, and vendors.

3.2 Prohibited Conduct

You agree not to:

Use the Site in any way that violates applicable federal, state, local, or international law or regulation

Transmit any unsolicited or unauthorized advertising or promotional material, including spam

Attempt to gain unauthorized access to any part of the Site, its servers, or any systems or networks connected to the Site

Use any automated means, including bots, scrapers, or spiders, to access, monitor, or copy content from the Site without our express written consent

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used on or in connection with the Site

Introduce viruses, trojans, worms, or other malicious or technologically harmful material

Impersonate or attempt to impersonate BIL, a BIL employee, another user, or any other person or entity

Use the Site to collect or harvest personal information about other users without their consent

Interfere with or disrupt the integrity or performance of the Site or its content

4. Inquiries, Quote Requests, and Form Submissions

The Site may include forms for submitting inquiries, quote requests, RFPs, and similar communications. Submission of such forms does not constitute a binding contract, agreement, commitment, or offer by BIL to provide any service. No service relationship is established until BIL and the relevant party have executed a written agreement or service contract.

You represent that all information you submit through the Site is accurate, current, and complete, and that you have the authority to submit such information on behalf of yourself or any organization you represent.

5. Intellectual Property

5.1 Ownership

The Site and all of its content, features, and functionality — including but not limited to text, graphics, logos, icons, images, data compilations, and software — are the exclusive property of Brown Integrated Logistics and its subsidiaries, licensors, or content providers, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 BIL Trademarks

The Brown Integrated Logistics name, logo, and all related names, logos, product and service names, designs, and slogans of BIL and its subsidiaries (including Brown Trucking Company, Brown West Logistics, Brown Aviation Logistics, Brown Fleet Services, and Brown Logistics Services) are trademarks of Brown Integrated Logistics. You may not use these marks without the prior written permission of BIL.

5.3 Limited License

Subject to these Terms, BIL grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal or internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Site except as follows:

Your computer or device may temporarily store copies of such materials incidental to your accessing and viewing those materials

You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use, provided you do not modify them and maintain any copyright or proprietary notices

6. User-Submitted Content

By submitting any content, information, or materials to BIL through the Site — including through forms, portals, or email links — you grant BIL a non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, and process such submissions for the purpose of responding to your inquiry and conducting its business operations. 8.1 No Warranty

In no event shall BIL’s total liability to you for all claims arising from or related to the site exceed one hundred dollars ($100.00). Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

The limitations in this section apply regardless of the legal theory on which a claim is based, whether in contract, tort (including negligence), strict liability, or otherwise.

12. Portal and Account Access

Access to any customer, carrier, or vendor portal on or connected to the Site may require account registration and is subject to supplemental terms presented at the time of registration or access. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify BIL immediately at amainor@brown-il.com of any unauthorized use of your account or any other security breach.

BIL reserves the right to terminate or suspend access to any portal or account at any time, with or without cause, and with or without notice.

13. No Service Contract Created by Site Use

Nothing on this Site constitutes an offer to provide logistics, transportation, warehousing, brokerage, or any other service. No binding service agreement is formed through the use of this Site, submission of an inquiry or quote request, or any exchange of information via the Site. All services provided by BIL and its subsidiaries are governed exclusively by separately executed written agreements between BIL and the applicable customer, carrier, or vendor.

14. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them or the Site shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in DeKalb County, Georgia. You consent to personal jurisdiction in such courts and waive any objection to venue in such courts.

15. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No waiver by BIL of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, and any failure by BIL to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by BIL on the Site, constitute the entire agreement between you and BIL with respect to your use of the Site, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties with respect to the Site.
